1. Acceptance of Terms

Welcome to GrantSense AI. By accessing or using our platform at grantsense.com (the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use the Service.

These Terms constitute a legal agreement between you (the "User", "NGO", "Partner", or "Consultant") and GrantSense AI, governed by the laws of India.

2. Service Description

GrantSense AI is an AI-powered platform that provides:

• Grant Discovery: Search and discover government grants, CSR opportunities, and tenders across India
• Eligibility Matching: AI-powered analysis to assess your NGO's eligibility for funding opportunities
• Proposal Automation: AI-assisted grant proposal generation and documentation support
• Partner Program: Referral system for consultants and partners to earn commissions
• NGO Database: Searchable directory of registered NGOs in India
• Alerts & Notifications: Real-time updates on new funding opportunities

The Service is provided on a subscription basis with both free and paid tiers.

3. Eligibility

To use GrantSense AI, you must:

• Be at least 18 years of age
• Represent a registered NGO, non-profit organization, or be a legitimate consultant/partner in India
• Have the legal authority to bind your organization to these Terms
• Provide accurate and truthful information during registration
• Comply with all applicable Indian laws and regulations

We reserve the right to verify your eligibility and reject or suspend accounts that do not meet these criteria.

4. User Accounts

4.1 Account Creation

You must create an account to access most features of the Service. You agree to:

• Provide accurate, current, and complete information
• Maintain and promptly update your account information
• Keep your password secure and confidential
• Notify us immediately of any unauthorized access
• Accept responsibility for all activities under your account

4.2 Account Types

• NGO Accounts: For registered non-profit organizations seeking funding
• Partner Accounts: For consultants, district partners, and referral partners
• Admin Accounts: For platform administrators (by invitation only)

5. Subscription Plans & Pricing

5.1 Free Tier

Limited access to grant discovery and basic features with usage restrictions.

5.2 Annual Subscription

Price: ₹1,999 per year (inclusive of applicable taxes)

Benefits: Unlimited grant searches, AI eligibility checks, proposal generation, priority support, and advanced features.

5.3 Payment Terms

• All payments are processed securely through Razorpay
• Subscriptions renew automatically unless canceled
• Prices are subject to change with 30 days notice
• All fees are non-refundable except as stated in our Refund Policy

6. Acceptable Use Policy

You agree NOT to:

• Fraud or Misrepresentation: Provide false information about your NGO, credentials, or documents
• Unauthorized Access: Attempt to access other users' accounts or restricted areas
• System Abuse: Use automated tools (bots, scrapers) to access or extract data without permission
• Spam or Harassment: Send unsolicited messages or engage in abusive behavior
• Illegal Activities: Use the Service for any unlawful purpose or to violate Indian laws
• Intellectual Property Infringement: Copy, modify, or distribute our content without authorization
• Security Violations: Introduce viruses, malware, or attempt to compromise system security
• Resale or Transfer: Resell, sublicense, or transfer your account without our consent

Violation of this policy may result in immediate account suspension or termination without refund.

7. Intellectual Property Rights

7.1 Our Content

All content on GrantSense AI, including but not limited to text, graphics, logos, software, AI models, and database compilations, is owned by GrantSense AI and protected by Indian copyright and intellectual property laws.

7.2 Your Content

You retain ownership of content you upload (NGO profiles, documents, proposals). By uploading content, you grant us a non-exclusive, worldwide license to use, display, and process it solely to provide the Service.

7.3 AI-Generated Content

Proposals and content generated by our AI tools are provided to you for your use. However, you are responsible for reviewing, editing, and ensuring accuracy before submission to any third party.

9. Limitation of Liability

To the fullest extent permitted by Indian law:

• GrantSense AI shall not be liable for any indirect, incidental, special, consequential, or punitive damages
• Our total liability for any claim shall not exceed the amount you paid for the Service in the 12 months preceding the claim
• We are not liable for losses resulting from unauthorized access to your account, service interruptions, or third-party actions
• We are not responsible for the accuracy of third-party grant information or outcomes of grant applications

10. Indemnification

You agree to indemnify and hold harmless GrantSense AI, its officers, employees, and partners from any claims, damages, losses, or expenses (including legal fees) arising from:

• Your violation of these Terms
• Your violation of any law or third-party rights
• Your use or misuse of the Service
• Content you upload or submit

11. Termination

11.1 Termination by You

You may terminate your account at any time by contacting support@grantsense.com. No refunds will be provided for unused subscription periods.

11.2 Termination by Us

We may suspend or terminate your account immediately if you:

• Violate these Terms or our Acceptable Use Policy
• Engage in fraudulent or illegal activity
• Fail to pay subscription fees
• Pose a security risk to the platform

11.3 Effect of Termination

Upon termination, your access to the Service will cease immediately. We may retain your data as required by law or our data retention policies.

12. Partner Program Terms

If you participate in our Partner Program:

• Commission Structure: Earn commissions on successful NGO referrals as per the published rates
• Payment Terms: Commissions paid monthly after a 30-day holding period
• KYC Requirements: Complete KYC verification to receive payouts
• Ethical Conduct: Do not misrepresent the Service or make false promises to NGOs
• Termination: We may terminate partner accounts for policy violations

13. Modifications to Terms

We reserve the right to modify these Terms at any time. Changes will be effective upon posting on this page with an updated "Last Updated" date. Material changes will be notified via email or platform notice. Your continued use after changes constitutes acceptance.

14. Governing Law & Dispute Resolution

These Terms are governed by the laws of India, including:

• Information Technology Act, 2000
• Indian Contract Act, 1872
• Consumer Protection Act, 2019

Jurisdiction: All disputes shall be subject to the exclusive jurisdiction of courts in Delhi, India.

Dispute Resolution: Before legal action, parties agree to attempt good-faith negotiation for 30 days.

15. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
